1. Platform Role

FileGateX provides infrastructure that enables sellers to list, sell, deliver, and manage eligible digital products and services. The platform is not a party to your product, does not create your offers, and does not take ownership of your content.

You remain solely responsible for your products, their descriptions, any promises made to customers, their legality, intellectual-property rights, fulfillment obligations, and compliance with all applicable laws.

2. Platform Fee

The platform currently charges a 5% platform fee on completed sales, deducted from the seller's proceeds before your net earnings are credited. A different fee may apply to you only through a specific plan, negotiated agreement, promotion, or a future pricing structure communicated to you.

The applicable fee is displayed in your dashboard and is part of the transaction record for each sale.

Payment-processing fees charged by payment providers are separate from the platform fee and are addressed in Section 3.

3. Payment Processing

Payments may be processed through supported third-party payment providers. Depending on the checkout and payment method, payment-processing fees, currency-conversion costs, network fees, and other provider-related charges may apply according to platform policy.

We do not promise that processing fees will always equal a fixed percentage, and we make no representation that provider costs can be passed to buyers in every jurisdiction. Where the platform adds a processing fee at checkout, this is done in accordance with platform policy and applicable law.

4. Pending Balance

Sales proceeds may initially appear as a Pending Balance and are not necessarily immediately withdrawable.

The platform may delay availability of funds for legitimate risk-management reasons, including fraud prevention, refunds, disputes, chargebacks, payment-provider settlement, account verification, unusual transaction activity, regulatory or compliance requirements, and security reviews.

Any applicable holding policy in effect at the time of sale is applied according to platform settings and is visible in your dashboard.

5. Available Balance

Your Available Balance is the amount eligible for withdrawal at a given time. Only eligible Available Balance may be withdrawn, subject to your account status, verification, reserves, open disputes, refunds, negative balances, and applicable platform rules.

Pending and Reserved amounts are shown separately and are not part of the Available Balance until released.

6. Refunds

When a transaction is refunded, amounts attributable to that transaction may be reversed from your Pending Balance, Available Balance, Reserve, or future earnings, as permitted by this Agreement and the platform's payment architecture.

You are not guaranteed earnings from any transaction that is refunded. If your balances are insufficient to cover a refund, the shortfall may create a Negative Balance as described in Section 8.

7. Chargebacks and Payment Disputes

You are financially responsible under this Agreement for losses associated with disputes and chargebacks arising from your sales, subject to applicable law and the platform's payment architecture.

For example: if a buyer disputes a $1,000 transaction of yours and the dispute is ultimately lost, you may not retain the seller proceeds of that transaction while the loss is absorbed by the platform. The platform's commission on a sale does not mean the platform accepts the underlying transaction risk of your sales.

To the extent permitted by law and this Agreement, the platform may recover eligible dispute-related amounts from your Pending Balance, Available Balance, Reserve, future earnings, or from a Negative Balance on your account.

Nothing in this Agreement states or implies that your payment provider, bank, or card network will debit you directly; the contractual financial responsibility addressed here is between you and the platform.

8. Negative Balance

If you do not have enough funds to cover a legitimate refund, dispute, chargeback, reversal, adjustment, or other amount owed under this Agreement, your account may enter a Negative Balance.

Future eligible sales proceeds may automatically be applied toward that negative balance before becoming withdrawable.

While a negative balance exists, the platform may restrict withdrawals, payouts, new sales, product publishing, or other account functionality when reasonably necessary for risk management. A negative balance does not by itself lead to automatic permanent termination.

9. Reserves

The platform may establish a reasonable rolling or fixed reserve for accounts presenting elevated financial risk. Relevant factors may include unusually high sales volume, a new seller account, unusually expensive products, abnormal refund or dispute rates, sudden transaction spikes, suspected fraud, or payment-provider requirements.

Reserve amounts are shown separately in your dashboard, are yours, and are released according to the reserve policy in effect. Reserves are configurable by the platform and applied in an auditable manner; they are never used to silently confiscate seller funds.

10. Withdrawals Do Not End Responsibility

Withdrawing money does not eliminate your responsibility for later refunds, reversals, or chargebacks associated with your previous transactions.

A seller may not sell, withdraw the proceeds, receive chargebacks, and abandon the account in order to shift the financial loss to the platform. Eligible amounts connected to your transactions remain your responsibility under this Agreement regardless of withdrawal.

11. Fraud Prohibitions

You must not engage in: stolen payment methods; fake transactions; self-purchases intended to manipulate payment systems; money laundering or transaction laundering; deceptive, illegal, or infringing products; unauthorized copyrighted content; malicious software; fraudulent courses or files; manipulation of refunds; deliberately causing chargebacks; or bypassing the platform's payment systems.

The platform may suspend transactions, withdrawals, or accounts when reasonably necessary to investigate suspected fraud or serious abuse.

12. Seller Product Responsibility

You are responsible for ensuring you have the legal right to sell everything you list, including copyright, trademarks, and licenses; for accurate product descriptions and customer representations; for product quality and delivery; for support obligations you undertake; and for compliance with applicable consumer-protection laws.

13. Prohibited Products

Products must fall within the platform's eligible digital categories and must not violate the platform's prohibited-products policy, which is maintained separately and incorporated by reference. The platform may update that policy; material changes affecting your listings will be communicated through platform notices.

14. Taxes

Tax obligations may depend on your jurisdiction and on the platform's legal and payment structure. Each party is responsible for the taxes it owes under applicable law. Nothing in this Agreement allocates to one party the other party's own tax liabilities, and the platform may take steps required to comply with applicable tax requirements (such as reporting or collection where legally required).

15. Account Suspension and Holds

The platform may reasonably suspend selling, freeze withdrawals, temporarily hold funds, remove products, request verification, or terminate seller privileges for serious fraud, prohibited products, legal requirements, security incidents, excessive disputes or chargebacks, or material violations of this Agreement.

Funds are not confiscated arbitrarily: holds and restrictions are applied for risk management or legal compliance and are resolved according to this Agreement and applicable law.

16. Account Termination

If your seller account is closed, any remaining Available Balance eligible for payout may be paid out after deducting amounts you owe under this Agreement (unresolved refunds, disputes, chargebacks, negative balances, reserves not yet released).

Pending and Reserved amounts continue to be processed according to their policies. Termination does not erase legitimate outstanding financial obligations of either party.

17. Agreement Updates and Versions

This Agreement is versioned. When material terms change, a new version is published and you will be required to accept it before continuing seller-specific activities. Your acceptance history is recorded per version, and previously accepted versions remain part of the record.

18. Legal Review Notice

This Agreement should be reviewed by qualified legal counsel before production launch, particularly because the marketplace may serve sellers and buyers internationally. This text is provided as a commercial framework and is not a guarantee of enforceability in every jurisdiction.
